Terms of Service

Effective date: April 18, 2026

These terms are a contract between Dentospire Technologies LLP ("Dentospire", "we", "us") and the clinic or person signing up for or using the platform ("you"). Please read them carefully before you use the service.

1. Agreement to these terms

By creating an account, clicking "I agree", or using any part of Dentospire, you accept these terms and our Privacy Policy. If you are accepting on behalf of a clinic or company, you confirm you have the authority to bind it.

2. What Dentospire does

Dentospire is a cloud platform for dental clinics. It includes patient records, dental charting, prescriptions, X-ray and intraoral image storage, treatment plans, appointments, billing, staff accounts, WhatsApp messaging, and optional AI features. We may add or remove features over time; we will give reasonable notice for material removals that affect paying customers.

3. Account rules

  • You must be 18 or older and legally able to enter a contract.
  • You must give accurate account information and keep it up to date.
  • You are responsible for keeping credentials safe and for everything done under your account.
  • One person should not share a single login; add named staff accounts instead.
  • Tell us promptly if you suspect unauthorised access.

4. Acceptable use

You agree not to:

  • Use the platform for anything illegal or outside legitimate dental practice.
  • Upload malware, run scraping tools, or try to break security controls.
  • Attempt to access another clinic's data or bypass tenant isolation.
  • Resell or white-label Dentospire without a written partner agreement.
  • Send spam, unsolicited marketing, or messages that violate WhatsApp Business Policy.
  • Use Dentospire to store data you are not lawfully allowed to process.

5. Plans, billing, and refunds

Current annual plans for India (prices exclude applicable taxes such as GST):

  • Starter: Rs. 7,497 per year
  • Pro: Rs. 14,997 per year
  • Enterprise: Rs. 29,997 per year

Global equivalents range from US$99 to US$499 per year depending on plan and region. Exact international pricing is shown at checkout.

  • Auto-renewal: paid plans renew automatically at the end of each term at the then-current price. You can turn auto-renewal off from your billing page at any time before the renewal date.
  • Refunds: you may request a pro-rata refund within 14 days of a new plan purchase. After 14 days, fees are non-refundable except where required by law.
  • Failed payments: if we cannot collect, we will notify you and give you at least 7 days to update payment before suspending paid features.
  • Taxes: prices do not include GST, VAT, or other applicable taxes, which will be added where required.
  • Price changes: we may change pricing with at least 30 days' notice before your next renewal.

6. Your content and data

You keep ownership of all clinic, staff, and patient data you put into Dentospire. You grant us a limited, worldwide, royalty-free licence to host, copy, transmit, and display that content only to operate the platform for you, provide support, and meet legal obligations. You can export your full dataset at any time using the in-app export tool.

7. Our intellectual property

The Dentospire software, design, brand, documentation, and any improvements we build are and remain our property. Nothing in these terms transfers IP to you, other than the limited right to use the platform while your subscription is active. Feedback you send us may be used to improve the product without obligation to you.

8. AI features (clinical decision support only)

Dentospire uses AI to suggest X-ray findings, summarise notes, draft prescriptions, and support charting. These outputs are assistive clinical decision support and are not a medical diagnosis, not a prescription, and not a substitute for professional judgement.

A licensed dentist must review and approve every AI-generated output before it is used for patient care. You are responsible for the clinical decisions you and your staff make. AI models can make mistakes, miss findings, or produce plausible-sounding but incorrect text.

We do not use your patient data to train public AI models. AI requests run per-query through the sub-processors listed in our Privacy Policy.

9. Uptime and service availability

We target 99.5% monthly uptime, measured excluding scheduled maintenance (announced at least 48 hours in advance) and events outside our reasonable control. Starter and Pro plans do not include SLA service credits. Enterprise customers may negotiate a separate written SLA with credits.

10. Termination

  • You can cancel your plan from billing settings at any time.
  • We can suspend or terminate your account for breach of these terms, non-payment, or risk to the platform or other customers, with notice where practical.
  • On termination, you will have at least 30 days to export your data; after that we delete it as described in the Privacy Policy.
  • Sections that should reasonably survive (IP, liability, indemnity, governing law, dispute resolution) do so after termination.

11. Limitation of liability

To the maximum extent permitted by law, Dentospire is provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, data, or goodwill.

Our total aggregate liability for any claim arising out of or related to these terms or the platform is limited to the fees you actually paid to us in the 3 months immediately before the event giving rise to the claim. This cap does not apply to your payment obligations or to liabilities that cannot be limited by law.

12. Indemnity

You will defend and indemnify Dentospire against third-party claims arising from (a) your or your clinic's use of the platform in breach of these terms or law, (b) content you upload, (c) your clinical decisions, or (d) your failure to obtain required patient consent. We will defend you against a third-party claim that your paid use of the unmodified platform infringes their intellectual property, subject to the liability cap in section 11.

13. Governing law

These terms are governed by the laws of India. Subject to section 14, the courts of Pune, Maharashtra have exclusive jurisdiction.

If you are a consumer in the EU or UK, you keep the protection of the mandatory consumer laws of your country of residence.

14. Dispute resolution and arbitration

Please talk to us first: most issues can be sorted out by email. If we cannot resolve a dispute within 30 days of written notice, it will be finally settled by arbitration seated in Pune, India, under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed by the parties (or, failing agreement, appointed under the Act). The language will be English. Either party may still seek urgent interim relief from a competent court.

15. Changes to these terms

We may update these terms to reflect new features, legal changes, or clearer wording. For material changes we will email clinic owners at the address on file at least 14 days before the change takes effect. Continued use after the effective date means you accept the update; otherwise you can close your account.
